These Terms of Service (“Terms”) govern your use of the services provided by Modiv Advisors, co-founded by Kai Niu and Chelsea Yee. By working with us, using our website, or engaging with any of our offerings, you agree to the terms outlined below.

1. Our Services
Modiv Advisors provides consulting and business development services for small brands and companies seeking retail placement. Our services may include:

  • Strategic consulting

  • Retail pitch development

  • Retailer outreach

  • Brand presentation support

  • Market analysis

  • Contract facilitation between clients and retailers

2. Client Responsibilities
To receive our services, clients agree to:

  • Provide accurate and up-to-date business information

  • Respond in a timely manner to communication

  • Disclose any material changes to their business, product, or operations that may affect strategy

  • Review and approve any material before it is shared with potential retail partners

3. Confidentiality

4. Payments and Fees

If a client wishes to cancel services, they must notify Modiv Advisors in advance. In the event of cancellation, a partial payment for services already rendered, as defined in the signed agreement, will still be required.
Failure to pay may result in suspended services and additional late fees.

With the client’s consent, Modiv Advisors may include anonymized or generalized success metrics (e.g., "15% increase in retail inquiries") in case studies or promotional materials.
We will not publish private business information or identifiable financial records without explicit written permission.

6. Intellectual Property
All documents, reports, pitch decks, and materials created by Modiv Advisors for a client are the intellectual property of the client upon full payment.
Materials developed for internal strategy or general use remain the intellectual property of Modiv Advisors.

7. Limitation of Liability
While we strive to secure retail placement and growth, we cannot guarantee outcomes.
Modiv Advisors is not liable for lost profits, missed opportunities, or third-party actions (such as non-responses or rejections from retailers).
Our role is advisory and facilitative—not as legal representatives, manufacturers, or retailers.

8. Termination
Either party may terminate the working agreement with written notice.
Clients must provide notice before termination and are responsible for partial payment for any services already completed, in accordance with the written agreement.
Upon termination, all client information will be returned or deleted as requested.

9. Website Use
By visiting our website, you agree not to misuse or attempt to breach the security or content of the site.
We may use analytics to improve user experience, but we do not sell user data.

10. Governing Law
These terms are governed by the laws of British Columbia, Canada. Disputes will be resolved through mutual negotiation before pursuing any formal resolution process.
